and
____________________________________, of ID/Passport No. _____________ (“the Model”).

1. PURPOSE

The Company engages the Model for the purpose of creating photo and video content (“the Content”) for marketing, advertising, and promotional use.

2. GRANT OF RIGHTS

The Model hereby irrevocably grants to the Company the exclusive right to:
a) Record, photograph, and film the Model during the shoot.
b) Use, reproduce, edit, publish, display, and distribute the Content in whole or in part.
c) Use the Content in all forms of media,  including but not limited to social media platforms, websites, billboards, print, online ads, television, and promotional material.

3. DURATION OF RIGHTS

The Company shall have the right to use the Content for a minimum of five (5) years from the date of creation, without obligation to remove, delete, or cease usage at any time within this period.

4. EXCLUSIVITY

a) The Content shall be the exclusive property of the Company.
b) The Model shall not use, reproduce, or share the Content for personal, commercial, or portfolio purposes.
c) The Model waives any right to request removal or takedown of the Content during the agreed period.

5. PAYMENT

a) The Model shall be paid a one-time fee of Ksh ______ per day of shoot.
b) Payment shall be made by cash or M-Pesa upon completion of the shoot.
c) Upon payment, the Model acknowledges receipt of full and final compensation for services rendered, and no further claims shall arise.

6. WAIVER OF RIGHTS

a) The Model waives all moral rights relating to the Content, including the right to object to edits, modifications, captions, or context of use.
b) The Model agrees not to challenge or dispute the Company’s ownership and usage of the Content.

7. CONFIDENTIALITY & NON-DISPARAGEMENT

a) The Model shall not disclose, share, or publish behind-the-scenes footage or unreleased Content without the Company’s prior written consent.
b) The Model shall not make negative or disparaging statements regarding the Company or its brand.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the jurisdiction of the courts of Kenya.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements relating to the subject matter.
